Our terms of service and user agreement
1. Skills Dock Pty Ltd (ABN 83 686 564 778) (referred to as SkillsDock, we, us, or our) operates the online platform accessible via https://skillsdock.com.au and related applications (the Platform) that enables individuals, homeowners, builders, businesses, and organisations (Service Seekers) to post requests for services, scopes of work, or project-based engagements (Jobs) and engage appropriately qualified and verified tradespersons, subcontractors, registered training organisations (RTOs), or other professionals (collectively, Tradies) to undertake such Jobs in accordance with these Terms and Conditions (Terms).
2. Service Seekers may publish Jobs on the Platform and receive responses from Tradies in the form of offers (Offers) detailing the scope of proposed services, milestones, pricing, availability, and qualifications. Certain Offer elements (such as Tradie profile, indicative pricing, and licences) may be publicly accessible on the Platform or indexed by third-party search engines.
3. A Service Seeker may modify or revoke a Job at any time prior to accepting an Offer. In such instances, SkillsDock may, at its sole discretion, cancel all related Offers submitted in response to the original Job.
4. Upon acceptance of an Offer via the Platform, the Job shall be assigned to the nominated Tradie and a legally binding contract (Job Contract) shall be formed between the Service Seeker and the Tradie incorporating the agreed terms, scope, milestones, and deliverables.
5. Upon formation of a Job Contract, the Service Seeker must fund the initial milestone payment (or agreed upfront amount) into an escrow facility managed by SkillsDock integrated third-party payment provider (Escrow Account). Once escrow is confirmed, SkillsDock services in facilitating the connection are deemed rendered and the applicable platform service fee (Platform Fee) becomes immediately due and non-refundable.
6. The Service Seeker and Tradie may agree to amend the Job Contract after acceptance by communicating through the Platform's secure messaging and milestone tracking tools. All variations must be confirmed in writing through the Platform.
7. Following completion of each milestone, the Tradie must mark the relevant milestone as complete via the Platform. The Service Seeker shall have seven (7) days to approve and release the funds deposited in the Escrow Account (Escrow Funds) as full settlement of the amounts payable. If the Service Seeker does not approve the milestone or raise a dispute within 7 days, then the milestone may be deemed abandoned. In such case, the funds (excluding Platform Fees) will be returned to the Service Seeker as SkillsDock credits.
8. Upon confirmation by both parties, or where SkillsDock is satisfied that the milestone has been substantially completed and no dispute is pending, SkillsDock shall release the Escrow Funds (less applicable fees) to the Tradie in accordance with clause 6.
9. Following completion of the Job, both parties are encouraged to provide honest and constructive feedback through the Platform's review system.
10. In addition to the ability to respond to Jobs, Tradies may elect to publish a service profile or standing offer (Tradie Listing) advertising availability, credentials, indicative pricing, and areas of expertise. SkillsDock may promote, publish, modify, or remove any Tradie Listing at its discretion.
11. A Service Seeker may initiate a booking request via a Tradie Listing. If the Tradie responds with an Offer that is subsequently accepted by the Service Seeker, a Job Contract shall be deemed to have been formed. A Tradie may amend or withdraw a Tradie Listing at any time prior to acceptance by a Service Seeker.
12. If a Service Seeker is looking for a single trade, we encourage them to browse relevant Tradie Listings and directly request one or more Tradies for a quote. This approach may be more efficient for straightforward tasks requiring a specific skill set. However, where a Job involves more than one trade or a more complex scope, we recommend using the "Publish a Job" function on the Platform, which is better suited to coordinating multi-trade projects and receiving structured Offers from multiple Tradies.
1. To access and use the Platform, Users must register for an account with SkillsDock (Account) as either a Service Seeker, a Tradie, or another approved User type. User(s) means any person who registers an Account on the Platform, including Service Seekers and Tradies. A single User may assume multiple roles, for example, both a Tradie or a Service Seeker, however, each role shall require the creation and use of a separate Account and corresponding login credentials. SkillsDock reserves the right to approve or reject Account applications in its sole discretion.

SkillsDock may require Users to undergo identity, right-to-work, licence, qualification, or regulatory checks (including "Know Your Customer" or Anti-Money Laundering procedures) as a condition of registration or continued access to the Platform. SkillsDock reserves the right to suspend or terminate any Account where satisfactory verification is not provided.
4. Tradies must hold all required licences, registrations, certifications, or trade accreditations relevant to the services offered and the jurisdiction in which the Job is to be performed. SkillsDock may publish or verify such credentials but is not responsible for their ongoing validity or accuracy.
5. Accounts are non-transferable and must be kept secure. Users are responsible for all activities conducted through their Account and must immediately notify SkillsDock of any unauthorised access, compromise, or suspected breach.

7. Nothing in this clause obliges SkillsDock to approve any application for registration or to permit continued use of the Platform by any User.
1. When a Service Seeker accepts an Offer submitted by a Tradie via the Platform, a Job Contract is formed between the Service Seeker and the Tradie on the terms set out in the Offer, including (without limitation) the scope of services, milestones, pricing, deliverables, and timeframes.
2. Each Job Contract is independent and separate from these Terms, and SkillsDock is not a party to any Job Contract. SkillsDock is not responsible for the performance, quality, timeliness, legality, or safety of any services or work performed under a Job Contract, nor does it guarantee that any User will complete their obligations.

Variations to a Job Contract may be made at any time after acceptance of the Offer, provided both the Service Seeker and the Tradie confirm the variation in writing using the Platform's communication or milestone tracking tools. SkillsDock may, but is not obliged to, facilitate variation tracking.
5. Users must not circumvent the Platform or these Terms by entering into off-Platform arrangements for any Job that was first introduced or facilitated via the Platform. Doing so may result in immediate Account suspension, clawback of Platform Fees, and permanent removal.

2. You warrant that all information you provide on the Platform, including in your profile, Job postings, Offers, reviews, and messages, will be accurate, up to date, and not misleading, defamatory, or unlawful. You must promptly update any information that becomes inaccurate or incomplete.

You grant SkillsDock a non-exclusive, royalty-free, worldwide licence to use, reproduce, display, and adapt any content you submit to the Platform (including profile information, reviews, and uploaded documentation) for the purpose of operating, maintaining, and promoting the Platform, subject to SkillsDock's Privacy Policy.

8. If our ability to perform the Services is prevented or delayed by any failure by you to fulfil any obligation listed in 4.1 to 4.7 (Your Default):
Services means the provision, operation, and maintenance of the SkillsDock online marketplace Platform, including account management, customer support, payment facilitation, communication tools, and any related services provided by SkillsDock directly to Users under this agreement.
The Platform is available for use by Users that require performance of services by Tradies at addresses within Australia.
SkillsDock may vary the Platform Fees from time to time. Any changes will be published on the Platform and will apply prospectively from the date of update. Ongoing use of the Platform following such publication constitutes acceptance of the new fee structure.
If a Service Seeker prefers not to receive a refund in SkillsDock Credits, they may submit a written request to SkillsDock Support for a refund to their original payment method. SkillsDock may take up to 7 business days to process such a refund once approved.
If a User claims that work under the Job Contract had already commenced before cancellation:

3. Users are solely responsible for the security of their SkillsDock Credits. To the extent permitted by law, SkillsDock is not liable for lost, stolen, or misused Credits.
4. SkillsDock is entitled to any unredeemed value remaining on Credits after expiry, unless withdrawn by the User within the valid period.
1. SkillsDock uses an approved third-party payment provider to facilitate escrow, holding, and disbursement of Job payments. By using the Platform, Users agree to the terms of that provider.

3. Where SkillsDock is unable to disburse or refund funds after 3 months, and no dispute has been raised, the funds will be converted to SkillsDock Credits and allocated to the Service Seeker.
4. Any amount returned by SkillsDock to a Service Seeker on behalf of a Tradie shall be a debt owed by the Tradie to SkillsDock and recoverable by offset or deduction.
1. Users acknowledge that access to and use of certain features of the Platform may require payment of fees, which may include subscription fees, commissions, listing or promotional fees, or other usage-based charges.

The applicable fees and payment models may vary based on the type of User account (e.g. Tradie, Service Seeker, Supplier, Builder, RTO) and the services selected (e.g. white-label modules, profile boosts, premium access). Details of the current fees, plans, and inclusions are set out on the Platform and may be updated from time to time.
3. Subscriptions may operate on a monthly, quarterly, or annual basis and will automatically renew unless cancelled in accordance with the cancellation terms stated on the Platform. Users are responsible for managing their subscription status and billing preferences via their Account settings.
4. Commission-based fees may apply to certain transactions facilitated through the Platform, and will be deducted from payments released through the Escrow system or invoiced separately, as applicable to the User type and plan selected.
5. SkillsDock may offer promotional features such as profile boosts, advertising placements, or premium listing visibility, which may be charged on a per-click, per-impression, or fixed-term basis. Details of such features and applicable charges will be set out on the Platform.
6. Unless expressly stated otherwise, all fees are exclusive of GST and other applicable taxes. Users are responsible for any such taxes associated with their use of the Platform or services.
7. SkillsDock reserves the right to amend the fee structure or introduce new fees by publishing updated pricing information on the Platform with reasonable notice. Continued use of the Platform after the effective date of any changes constitutes acceptance of the revised fees.
SkillsDock does not claim ownership over any intellectual property rights in any materials, deliverables, or outputs created by a Tradie in the course of performing a Job Contract. All such rights are retained by the Tradie unless otherwise agreed between the Service Seeker and the Tradie.
The Tradie and Service Seeker are solely responsible for determining the ownership, licensing, and permitted use of any intellectual property rights in deliverables created under a Job Contract. SkillsDock is not a party to such arrangements and makes no representations or warranties in respect of those rights.
You grant SkillsDock a worldwide, royalty-free, non-exclusive, non-transferable licence to use, reproduce, display, store, and modify any content, materials, images, or information you upload or provide to the Platform, solely for the purpose of operating, marketing, and improving the Platform and the SkillsDock Services. This licence continues for so long as you maintain an account or such content remains published on the Platform.
All rights, title, and interest (including all intellectual property rights) in any content created or generated by or on behalf of SkillsDock, including but not limited to training materials, price guides, data sets, blog articles, support documentation, and any educational modules (including those provided via an RTO, unless white-labelled for a specific customer), are and shall remain the exclusive property of SkillsDock. Users may not copy, reproduce, distribute, modify, or create derivative works from such content without the prior written consent of SkillsDock.
We collect, store, and use your personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. The personal information you provide to us may be used to:
We may disclose your personal information to third parties who help us deliver our services, such as payment providers, IT service providers, insurers, or contractors. Where possible, such third parties are bound by confidentiality and privacy obligations.
You have the right to access and correct your personal information, and to make privacy-related complaints. Further details of how we collect, use, and protect your personal information (including how to opt out of marketing communications) is set out in our privacy policy.
To the fullest extent permitted by law, each User agrees to indemnify, defend, and hold harmless SkillsDock Pty Ltd, its officers, directors, employees, agents, contractors, and affiliates (Indemnified Parties) from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including legal fees on a full indemnity basis) arising out of or in connection with:

2. Subject to clause 14.1 we will not be liable to you, whether in contract, tort (including negligence) or otherwise, for any special, indirect or consequential loss arising under or in connection with this agreement, including any:

Subject to clause 14.2, our maximum aggregate liability to you for any loss or damage or injury arising out of or in connection with the performance or non-performance of this agreement, including any breach by us of this agreement however arising, under any indemnity, in tort (including negligence), under any statute, custom, law or on any other basis, is limited to the amount reasonably determined by SkillsDock.

Nothing in this agreement is intended to have the effect of excluding, restricting or modifying the application of all or any of the provisions of Part 5-4 of the Australian Consumer Law in Schedule 2 of the Competition and Consumer Act 2010 (Cth) (ACL), or the exercise of a right conferred by such a provision, or any liability of ours in relation to a failure to comply with a guarantee that applies under Division 1 of Part 3-2 of the ACL to a supply of services.
5. If we are liable to you in relation to a failure to comply with a guarantee that applies under Division 1 of Part 3-2 of the ACL that cannot be excluded, our total liability to you for that failure is limited to, at our option, the resupply of the services or the payment of the cost of resupply.
6. This clause will survive termination of the agreement.
1. Each party agrees not to disclose any Confidential Information of the other party except as permitted by this clause or required by law. This obligation continues during the Term of this agreement and for a period of five (5) years following its termination. Term means the period commencing on the date the User first registers for an Account on the Platform and continuing until the earlier of:

Confidential Information means all information of a confidential or proprietary nature disclosed by one party to the other, whether orally or in writing, including (without limitation) information relating to customers, service requirements, pricing, business operations, technology, or personal information of Users, except as permitted by clause 15.3.
3. We each may disclose the other's confidential information:
4. Each of us may only use the other's confidential information for the purpose of fulfilling our respective obligations under the agreement.

Users agree to attempt to resolve any disputes, including claims for non-performance, defective work, or payment issues, directly with each other in good faith using the in-app chat and documentation features provided within the SkillsDock Platform. Each party must actively participate in such efforts, including providing supporting photos, messages, or change orders, within forty-eight (48) hours of the dispute arising.
2. If the dispute remains unresolved after the initial period, either party may request mediation by selecting "Request Mediation" within the Platform. A neutral SkillsDock case manager will review the job details, communications, documentation, and escrow status, and propose a resolution. Both parties must respond to the proposed resolution within five (5) business days. SkillsDock does not represent either party and will act reasonably and impartially in facilitating a resolution.
3. If either party rejects the proposed mediated resolution or no resolution is reached, the matter will be referred to binding arbitration under the rules of an independent arbitrator approved by the Australian Small Business and Family Enterprise Ombudsman (ASBFEO) or another body recognised in Australia, such as the Australian Disputes Centre (ADC). The decision of the arbitrator will be final and enforceable under Australian law.
4. By using the SkillsDock Platform, all Users waive any right to initiate or participate in court proceedings in relation to disputes under a Job Contract, except to enforce an arbitral award or where otherwise required by law.
5. During any active dispute resolution process, any Escrow Funds under the relevant Job Contract will be frozen and will not be released to either party unless and until the dispute is resolved by agreement, mediation outcome, or binding arbitration. Funds already released to a Tradie will not be subject to recall by SkillsDock except where legally required.
6. To facilitate dispute resolution, SkillsDock may, at its sole discretion, disclose necessary information (such as profiles, communication logs, job specifications, and documents) to the disputing parties and the appointed arbitrator. Users agree that such information will be used strictly for the purposes of resolving the dispute and for no other purpose.
7. Users acknowledge that the legal contract governing each Job is solely between the Service Seeker and the Tradie. SkillsDock is not a party to the Job Contract and is not liable for any damages, loss, or claims arising from the conduct or performance of either party in relation to the Job. SkillsDock's role is strictly limited to facilitating the resolution process as described above.
1. Either You or SkillsDock may terminate your account or this agreement at any time by notice in writing.
2. Termination of this agreement does not affect any existing Job Contracts, which will continue to operate according to their terms unless cancelled or completed.
3. If your account is terminated by SkillsDock for breach or misuse, you must not create or operate another account without SkillsDock's prior written consent. SkillsDock may suspend or close any other related accounts.
4. Termination of this agreement does not affect any rights, remedies, obligations or liabilities of the parties that have accrued up to the date of termination, including the right to claim damages for any breach of the agreement that existed at or before the date of termination.
5. Any provision of the agreement that expressly or by implication is intended to come into or continue in force on or after termination will remain in full force and effect.

Neither SkillsDock nor any User shall be liable for any failure or delay in performing any of its obligations under this agreement (excluding payment obligations) if such failure or delay results from an act, event or circumstance beyond that party's reasonable control (each an Event Outside Our Control), including but not limited to: natural disasters, fire, flood, pandemic, epidemic, governmental restrictions, telecommunications or internet failures, labour strikes, or third-party system outages.
2. If an Event Outside Our Control affects the performance of any party's obligations under this agreement:
3. If the Event Outside Our Control continues for more than 30 days, either party may cancel the affected Task Contract or relevant part of this agreement by notice in writing. Where cancellation occurs under this clause:

While a User maintain an active Account with SkillsDock and for a period of 12 months after the closure, deactivation, or termination of their Account, a User (including a Service Seeker or a Tradie) must not, without SkillsDock's prior written consent, directly or indirectly solicit, engage, or offer to engage another User introduced via the SkillsDock Platform for services outside the Platform.

3. If a User breaches this clause, SkillsDock reserves the right to recover an amount equal to the lost Connection Fees that would otherwise have been payable for the services delivered off-platform.
1. We may assign or transfer our rights and obligations under the agreement to another entity but will always notify you in writing or by posting on this webpage if this happens.
2. You may only assign or transfer your rights or your obligations under the agreement to another person if we agree in writing.
3. A breach of clause 20.2 by you entitles us to terminate this agreement.
These terms and conditions, their subject matter and their formation, are governed by the laws of New South Wales, Australia. You and we both agree that the courts in Australia will have exclusive jurisdiction.
